Management Board

The Management Board is a collective executive body responsible for the day-to-day management of the Company as prescribed by the scope of responsibilities set out in the Charter, Regulations on the Management Board, and resolutions adopted by the Company’s General Meeting of Shareholders and Board of Directors.

Composition of the Management Board

The number of members of the Management Board is determined by the Board of Directors.

On August 20, 2020, Minutes No. 312 of August 24, 2020. the Board of Directors resolved to terminate the powers of Boris Bogush as a member of the Management Board starting from September 1, 2020 due to the voluntary retirement, with the Management Board restructured to consist of four members.

On September 30, 2020, the Board of Directors extended the term in office of Nikolay Shulginov as the Chairman of the Management Board – General Director PJSC RusHydro for two years, with the Management Board restructured to consist of six members, including the newly elected members Sergey Vasilyev, Deputy General Director – Director of the Far East Division of PJSC RusHydro, and Bayrta Perveeva, Deputy General Director for Human Resources and Organizational Development of PJSC RusHydro.

Following the appointment of Nikolay Shulginov as the Minister of Energy of the Russian Federation pursuant to the Russian President’s Decree No. 692 of November 10, 2020, the Board of Directors resolved on November 10, 2020 Minutes No. 317 of November 11, 2020. to terminate the powers of Nikolay Shulginov as the Chairman of the Management Board – General Director PJSC RusHydro. Victor Khmarin was appointed the Acting Chairman of the Management Board – General Director on November 11, 2020.

Additional information on members of the Management Board

Members of the Management Board do not hold, whether directly or indirectly, any of shares of PJSC RusHydro or own shares in any affiliates of PJSC RusHydro.

In the reporting period, no deals were made to acquire or dispose of the Company’s shares.

The executive bodies of PJCS RusHydro had no conflict of interest (including participation in the governing bodies of the Company’s competitors) in the reporting year.

In the reporting period, members of the Management Board received no loans from the Company or RusHydro Group.

Newly elected members of the Management Board sign employment contracts. The terms of such employment contracts are determined by the Company’s sole executive body. Their effective period may not exceed three years.

Report on the Management Board’s performance

In 2020, the Management Board held 80 meetings, including 18 in person, and reviewed 370 items on the day-to-day operations of the Company, including preliminary consideration of recommendations submitted for review by the Board of Directors.

The Management Board also approved a number of internal regulations and adopted resolutions on the progress against the Long-Term Development Program of RusHydro Group; power asset consolidation in the Sakhalin Region; implementation of the Roadmap on expanding the Group’s EV charging network; changes in the management framework of RusHydro branches; and some other items related to production, sales and finance.

In addition, the Management Board reviews on a quarterly basis the performance of Headquarters (excluding members of the Management Board) and branch employees against their KPIs.

In 2020, RusHydro's corporate governance system was assessed, including the executive bodies' performance. A report was drafted based on the assessment findings, with some recommendations included.
